Churchill Capital Corp V is a special purpose acquisition company (SPAC) that was incorporated in 2020, with the aim of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination with one or more businesses. TheSPAC is focused on pursuing a combination with a business with leadership, strategies and technologies that promise to disrupt and redefine segments of industries, as well as create long-term value.

The SPAC is led by an experienced team of management and directors, with a diverse set of backgrounds and disciplines. They have a deep understanding of global capital markets, SaaS and software-enabled businesses, and venture capital. The management’s industry experience includes positions with numerous companies and funds, including Microsoft, Goldman Sachs, Morgan Stanley and Qualcomm Ventures.

The SPAC’s board of directors is composed of highly experienced and respected industry veterans who bring extensive industry experience and a deep understanding of global capital markets. Among the members are two co-founders and a former CEO of Pozible, a global crowdfunding platform; a CEO of a software-as-a-service (SaaS) merchant banking firm; a managing director at a large security software firm; and a venture partner with a venture capital firm specialising in early stage technology investments in Asia.

The SPAC’s wholly owned subsidiary, Churchill Capital Corp V Ventures Ltd., is focused on creating value through investments in early-stage technology companies. The company has a global reach, with investments and partnerships in the US, Europe and Asia, including companies in the e-commerce, healthcare, digital media, artificial intelligence and blockchain sectors.

Churchill Capital Corp V has also recently taken measures to strengthen its corporate governance structure by establishing a comprehensive corporate governance program, as well as forming an independent audit committee. This committee is tasked with oversight over the review and assessment of the SPAC’s financial reporting, internal control systems, and risk management and compliance policies and procedures.

The company is listed on the Nasdaq stock exchange under the symbol CCCV and has a current market capitalization of $323 million. As of July 2020, Churchill Capital Corp V had raised $246 million through a private investment in public equity (PIPE) offering.
